1. Document status and important notice

These Terms and Conditions are an operational draft for the public Optilo marketplace MVP. They are written to support current platform operations for a Bangkok-first local services marketplace, but they still require owner confirmation and legal review before any full public revenue launch.

Important: Optilo currently keeps payment activation blocked. The payment section below explains the intended model, but paid checkout should not be treated as active unless the owner later enables it and completes legal and payment setup.

2. Definitions

Optilo means the operator of Optilo.app. Platform means the website, public marketplace, user account area, messenger, translation layer, and related services. Customer or Client means a user seeking a local service. Freelancer, Provider, or Service Provider means a user offering services.

Job means a customer request. Project or Service means a provider listing. User Content means any text, image, attachment, review, portfolio item, or message submitted by a user. Client Communication Credits means credits used to unlock direct contact. AI Listing Credits means credits for premium AI actions. Optilo Guard means the platform contact-protection controls.

3. Platform role

Optilo is a technology marketplace and communication platform. Optilo helps users discover service opportunities, create bilingual listings, communicate more safely, and unlock direct contact when the applicable rules are met. Optilo is not the direct seller, employer, contractor, subcontractor, insurer, or guarantor of local services listed on the platform.

Users remain responsible for the scope of work, pricing, scheduling, access rules, safety checks, materials, taxes, permits, and final service agreements between themselves.

4. Account rules

Users must register with accurate information, maintain account security, and keep passwords and devices reasonably protected. Users may not impersonate another person, create deceptive duplicate accounts, or use the platform in a way that interferes with safety, moderation, or lawful operation.

  • Users must have the legal capacity required by applicable law.
  • Users must keep profile, company, and contact details truthful when contact sharing becomes allowed.
  • Optilo may suspend, restrict, or terminate accounts that breach these Terms, platform safety rules, or applicable law.

5. Rules for customers

Customers must describe jobs accurately, select suitable categories, subcategories, skills, location, urgency, and any site restrictions that are relevant to the requested service. Customers remain responsible for the accuracy of instructions, access conditions, and safety details related to their property or service site.

  • Do not post direct phone numbers, email addresses, social handles, map pins, or similar contact details before a valid contact unlock.
  • Do not use attachments to bypass contact protection or moderation rules.
  • Do not publish unlawful, dangerous, misleading, or abusive requests.

6. Rules for providers and freelancers

Providers must keep their profile, services, projects, skills, availability, qualifications, and pricing information truthful and current. Providers are responsible for complying with local laws, building rules, condo or site rules, trade-specific safety obligations, and any licences or qualifications required for their service.

  • No fake qualifications, no misleading portfolio claims, and no false reviews.
  • No attempt to route customers off-platform before an allowed unlock.
  • No unsafe or unlawful service offering.

7. Contact protection and Optilo Guard

Optilo uses contact-protection controls to detect and restrict exchange of direct contact details before an allowed unlock event. The platform may detect phone numbers, email addresses, LINE IDs, WhatsApp details, map pins, exact addresses, route links, social handles, and obfuscated variants where appropriate.

Unlock contact currently costs 2 Client Communication Credits. Before unlock, protected content may be blocked, masked, logged, or used for enforcement. After unlock, users remain responsible for safe conduct, lawful use of data, and any direct arrangements they make. No automated system can guarantee detection of every bypass attempt.

8. Messaging and attachments

Optilo provides a platform messenger to reduce unsafe off-platform contact before the relevant rules are met. Messaging, previews, attachments, and direct URLs may be subject to safety and moderation controls.

  • Attachments may be restricted before contact unlock.
  • Direct URL sharing may be blocked where it functions as contact evasion.
  • Platform logs and moderation records may be retained for safety, fraud prevention, and dispute handling.

9. English-Thai translation

Optilo may provide automated English-Thai translation for listings, profiles, and chat messages when the configured translation provider is available. When the provider is unavailable, Optilo may show a pending, failed, or unavailable state and may rely on manual bilingual content instead.

Translations are a communication aid. They are not legal advice, not a certified translation, and not a guarantee of perfect accuracy. Users must verify technical, safety, pricing, scheduling, and legal details that matter to their transaction.

10. AI tools

Optilo may offer premium AI tools such as Generate Listing, Enhance or Rewrite Listing, and SEO Rewrite. Premium AI actions use AI Listing Credits. Baseline marketplace translation for supported EN/TH listing flows is intended to remain included and separate from premium AI credits.

Users remain responsible for reviewing, correcting, and approving AI-generated or AI-enhanced content. AI output must not be used to publish misleading claims, unlawful content, fake qualifications, unsafe instructions, or false guarantees.

11. Credits and packages

Optilo may offer free and paid product layers, including freelancer plans, Client Communication Credits, and AI Listing Credits. The current public MVP may show package information and blocked payment states even when checkout is not yet enabled.

  • Client Communication Credits are used for contact unlock.
  • AI Listing Credits are used for premium AI actions.
  • Free Starter and other freelancer plans may govern listing limits, lead visibility, and related features.

12. Payments and future revenue activation

To be activated after payment gateway launch. At the time of this operational draft, Optilo keeps payment activation blocked unless the owner later enables it. Public package descriptions may be visible for planning and onboarding purposes, but they do not by themselves mean paid checkout is live.

When payment is activated in the future, Optilo expects to publish additional rules covering taxes, fees, invoices or receipts, refunds, chargebacks, wallet or ledger entries, expiry, and plan renewal behavior. Those production payment rules require separate owner and legal confirmation.

13. Prohibited services and content

Users may not use Optilo for illegal services, fraud, impersonation, phishing, malware, hate or harassment, sexual exploitation, weapons, narcotics, dangerous unlawful conduct, deceptive financial schemes, fake credentials, spam, or any attempt to bypass platform safety controls.

  • No unlawful or dangerous services.
  • No off-platform contact evasion before unlock.
  • No abusive, defamatory, or infringing content.
  • No false licensing or qualification claims.

14. User content licence

Users retain responsibility for their User Content and represent that they have the rights needed to submit it. By uploading User Content, users grant Optilo a non-exclusive right to host, store, process, format, translate, moderate, display, and distribute that content as reasonably needed to operate, secure, improve, and market the marketplace.

This licence ends when the content is lawfully removed from the platform, except where retention is reasonably required for backups, logs, compliance, or dispute handling.

15. Moderation, reports, complaints, and appeals

Optilo may review reports, remove content, reduce visibility, restrict features, or suspend accounts when content or conduct appears to violate platform rules, legal obligations, or safety standards. Users should be able to report suspicious activity, unsafe conduct, fake profiles, or prohibited content through available platform channels.

Where relevant, Optilo intends to maintain a notice, review, and appeal approach aligned with the practical needs of a marketplace platform, including DSA-style complaint and action principles for users who may access the service from the EU.

16. Availability and changes

Optilo may change, suspend, or discontinue features, categories, translations, package displays, or messaging behavior as the product evolves. Optilo does not guarantee uninterrupted availability, permanent uptime, or identical feature behavior across all devices and locales.

Scheduled maintenance, bug fixes, security updates, and provider outages may affect service availability from time to time.

17. Liability and disclaimers

To the extent permitted by applicable law, Optilo provides the platform on an “as available” basis and does not guarantee the quality, legality, safety, licensing, punctuality, or fitness of any third-party service provider or customer request. Users remain responsible for checking qualifications, pricing, access conditions, insurance, safety, and final service performance.

Nothing in these Terms should exclude rights that cannot lawfully be excluded. Any final limitation of liability language remains subject to legal review.

18. Governing law and jurisdiction

The final governing law, venue, and dispute-resolution model for Optilo require owner and legal confirmation, especially because the marketplace operates in Thailand and may involve an owner, users, vendors, or processors connected to other jurisdictions. The platform should align the final clause with applicable Thai law, cross-border data compliance, and any EU-facing obligations where relevant.

Owner and legal review required: no final jurisdiction or dispute venue is confirmed in this operational draft.

19. Changes to these Terms

Optilo may update these Terms when the product, moderation process, package structure, provider integrations, payment status, or legal requirements change. Material updates should be reflected by a new effective date, last-updated date, and version, and may also be communicated through the platform or related notices.

20. Contact and operator information

Optilo should publish verified operator and legal contact details before any full revenue launch. Until those details are confirmed by the owner, the public legal documents remain operational drafts with owner-required placeholders.
